1. Scope of Services
Cloudenex Marketing & Infotech Solutions provides performance marketing, SEO, web engineering, marketplace management, commercial photoshoots/UGC, and social media services as defined in each signed proposal or statement of work. Anything outside the SOW is scoped and billed separately.
2. Project Timelines
Timelines run from receipt of complete inputs (access, assets, approvals) and advance payment. Client-side delays extend delivery equivalently. Monthly retainers report on fixed sprint cycles with shared dashboards.
3. Payments
Projects require an advance per the proposal with balance on milestones; retainers bill monthly in advance. Ad spend and marketplace fees are billed separately and paid directly to platforms unless otherwise agreed. Late payments beyond 7 days may pause delivery; taxes (including GST) apply as per law.
4. Client Responsibilities
Clients provide accurate business information, timely feedback (within 3 working days), required platform access, and compliant product and claim data. Clients warrant they hold rights to all supplied trademarks, images, and copy.
5. Intellectual Property
On full payment, clients own final deliverables specified in the SOW (creatives, listings, site builds). Cloudenex retains ownership of pre-existing tools, frameworks, and know-how, plus the right to showcase anonymised work as case studies unless an NDA states otherwise.
6. Confidentiality & Non-Solicitation
Both parties keep shared commercial data confidential for 2 years. Clients agree not to directly solicit assigned Cloudenex personnel during the engagement and for 6 months after, without written consent.
7. Warranties & Liability
Services follow industry best practice but platform outcomes (rankings, ROAS, marketplace actions) cannot be guaranteed. Liability is limited to fees paid for the affected month or milestone. Neither party is liable for indirect or consequential losses.
8. Termination
Either party may terminate with 30 days written notice. Work completed till termination is billed; advance for unstarted work is refunded after deducting committed costs. Access and credentials are revoked and handed over on settlement.
9. Governing Law & Jurisdiction
These terms are governed by the laws of India. Courts at Kanpur, Uttar Pradesh, India hold exclusive jurisdiction. Disputes are first attempted via good-faith negotiation, then arbitration seated in Kanpur.
